Connect mk1 Ford Badge on Bonnet
Connect mk2 Ford badge on grill

If you are keeping your original grill, you will not have to replace slam panel.

But if planning to fit mk2 grill & your slam panel is the plastic one, then yes it will need replacing. You can use you existing bonnet just remove badge & fill in the recess.
You don't need to change the bonnet latch as they are all the same. The part that need replacing for the mk2 grill, is just the bonnet latch key barrel (it's a seperate part !) - see pic

You also require both front wheel arch plastic trims, as these also clip onto the front bumber.

Also I still have this mk2 grill up for sale £15 - On ebay they are selling for over £60 !

the Mk2 grill should fit no problem,

Take to look at my pics here

viewtopic.php?f=54&t=116284

and compare your slam panel to the orange one in the pics, if it is the same them mk2 grill will fit no problem.

If your slam panel looks like this, Then it's the plastic one (connects from 2002-2003 were fitted with plastic slam panels)
